This AGREEMENT is made effective as of March 8, 2022, by and between Capitol Series Trust (the “Trust”), an Ohio business trust, with its principal office and place of business at 225 Pictoria Drive, Suite 450, Cincinnati, Ohio, 45246, and Cary Street Partners Asset Management LLC, a limited liability corporation organized under the laws of the state of Virginia, with its principal office and place of business at 901 East Byrd Street, Richmond, VA 23219 (the “Adviser”).

THIS SUB-ADVISORY AGREEMENT (this “Agreement”) is made as of March 1, 2022 (the “Effective Date”), by and between Cary Street Partners Asset Management LLC (“Adviser”) and Fairlead Strategies LLC (“Sub-Adviser”), an investment adviser organized under the laws of the State of Connecticut and registered as an investment adviser with the U.S. Securities and Exchange Commission (the “SEC”) under the Investment Advisers Act of 1940, as amended (the “Advisers Act”).
