This AGREEMENT is made as of February 20, 2018 between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), and Counterpoint Mutual Funds, LLC, a California limited liability company (the “Adviser”) located at 12760 High Bluff Drive, Suite 280, San Diego, CA 92130.

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 20th day of February, 2018, by and between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), on behalf of the Counterpoint Tactical HY Municipal Fund (the “Fund”) a series of the Trust, and the Advisor of the Fund, Counterpoint Mutual Funds, LLC, (the “Advisor”).
