This AGREEMENT is made as of February 17, 2016, between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), and Boyd Watterson Asset Management, LLC, a Delaware limited liability company (the “Adviser”) located at 1801 E. 9th Street Suite 1400 Cleveland, OH 44114.

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 24th day of May, 2016, by and between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), on behalf of the Boyd Watterson Limited Duration Enhanced Income Fund (the “Fund”) a series of the Trust, and the Advisor of the Fund, Boyd Watterson Asset Management, LLC, an Ohio limited liability company (the “Advisor”).
