This AGREEMENT is made as of August 27, 2015 between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), and Counterpoint Mutual Funds, LLC, a California limited liability company (the “Adviser”) located at 12707 High Bluff Drive, Suite 200, San Diego, CA 92130.

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 27th day of August, 2015, by and between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), on behalf of the Counterpoint Tactical Equity Fund (the “Fund”) a series of the Trust, and the Advisor of the Fund, Counterpoint Mutual Funds, LLC, (the “Advisor”).
