This AGREEMENT is made as of July 29, 2015 between NORTHERN LIGHTS FUND TRUST IV, a Delaware statutory trust (the “Trust”), and ANCHOR CAPITAL MANAGEMENT GROUP, INC. a Delaware limited liability company (the “Adviser”) located at 15 Enterprise, Suite 450, Aliso Viejo, California 92656.

THIS UNDERWRITING AGREEMENT (this “Agreement”) dated the 29th day of July, 2015 (the “Effective Date”), is entered into by and between NORTHERN LIGHTS FUND TRUST IV, a Delaware statutory trust, having its principal office and place of business at 17605 Wright Street, Omaha, Nebraska 68130 (the “Trust”), and NORTHERN LIGHTS DISTRIBUTORS, LLC, a Nebraska limited liability company having its principal office and place of business at 17605 Wright Street, Omaha, Nebraska 68130 (“NLD”). Capitalized terms used herein and not otherwise defined shall have the meaning prescribed to them in Section 16 of this Agreement.

AGREEMENT AND DECLARATION OF TRUST made this 2nd day of June, 2015, by the Trustees hereunder, and by the holders of shares of beneficial interest to be issued hereunder as hereinafter provided. This Amended Agreement and Declaration of Trust shall be effective upon the filing of the Certificate of Trust in the office of the Secretary of State of the State of Delaware.
