I, David Zito, hereby agree to be employed by Premier Healthcare Solutions, Inc. (the “Company”) and, subject to approval of the Board of Directors of Premier, Inc. (the “Board”) and all necessary committees of the Board, the Company hereby agrees to employ me, subject to the following terms and conditions (the “Agreement”). If for any reason, this Agreement is not approved by the Board or any necessary committee of the Board, this Agreement shall not take effect and shall be null and void.
