THIS REGISTRATION RIGHTS AGREEMENT (this "Agreement"), executed as of May 31, 2019, is made by and between Invesco Pennsylvania Value Municipal Income Trust, a Delaware statutory trust (the "Fund"), and Banc of America Preferred Funding Corporation, a Delaware corporation, including its successors by merger or operation of law ("Banc of America" or the "Shareholder").
