This Subsidiary Guaranty (the “Subsidiary Guaranty”) is made as of February 3, 2022 by the parties identified in the signature pages hereto, and any Joinder to Subsidiary Guaranty hereafter delivered (collectively, the “Subsidiary Guarantors”), to and for the benefit of KeyBank National Association (“KeyBank”) as administrative agent (“Administrative Agent”) for itself and the lenders under the Credit Agreement (as defined below) and their respective successors and assigns (collectively, the “Lenders”).

This Second Amended and Restated Credit Agreement (the “Agreement”) dated as of February 3, 2022, among Inland Real Estate Income Trust, Inc., a corporation organized under the laws of the State of Maryland (the “Borrower”), KeyBank National Association, a national banking association, and the several other banks, financial institutions and entities from time to time parties to this Agreement (collectively, the “Lenders”), and KeyBank National Association, not individually, but as “Administrative Agent”, amends and restates that certain Amended and Restated Credit Agreement dated as of August 1, 2018, among the Borrower, certain of the Lenders, and KeyBank National Association as Administrative Agent (as amended, collectively, the “Original Credit Agreement”).
