This AMENDED AND RESTATED Ascendon ADDENDUM (this “Ascendon Addendum”) is made by and between CSG Systems, Inc., a Delaware corporation (“CSG”), and Comcast Cable Communications Management, LLC, a Delaware limited liability company (“Comcast”), on behalf of itself and its Affiliates (collectively, “Customer”). This Ascendon Addendum is made and entered into this __ day of December 2019 but shall be effective as of January 1, 2020 (the “Ascendon Addendum Effective Date”). This Thirty-fifth Amendment (the “Amendment”) is made by and between CSG Systems, Inc., a Delaware corporation (“CSG”), and Charter Communications Operating, LLC, a Delaware limited liability company (“Customer”). CSG and Customer entered into that certain Consolidated CSG Master Subscriber Management System Agreement effective as of August 1, 2017 (CSG document no. 4114281), as amended (the “Agreement”), and now desire to further amend the Agreement in accordance with the terms and conditions set forth in this Amendment. If the terms and conditions set forth in this Amendment shall be in conflict with the Agreement, the terms and conditions of this Amendment shall control. This CSG MASTER SUBSCRIBER MANAGEMENT SYSTEM AGREEMENT (“Agreement”) (including the attached Schedules and Exhibits) is entered into this 18th day of December 2019 but shall be effective as of January 1, 2020 (“Effective Date”), by and between CSG Systems, Inc.â, a Delaware corporation with offices at 6175 South Willow Drive, 10th Floor, Greenwood Village, Colorado 80111 (“CSG”), and Comcast Cable Communications Management, LLC, a Delaware limited liability company with offices at One Comcast Center, Philadelphia, Pennsylvania 19103 (“Comcast”), on behalf of itself and its Affiliates (collectively, the “Customer”).
