This Commercial Manufacturing and Supply Agreement (this “Agreement”) is made effective as of the 22nd day of November, 2013 (the “Effective Date”) by and between Baxter Pharmaceutical Solutions LLC, a Delaware limited liability company having a place of business at 927 South Curry Pike, Bloomington, Indiana 47403 (“Baxter”), and Dynavax Technologies Corporation, a Delaware corporation having a principal place of business at 2929 Seventh Street, Suite 100, Berkeley. California 94710 (“Dynavax”).

THIS AGREEMENT is entered into as of November 2, 2016, (the “Effective Date”) by and between Dynavax Technologies Corporation, a company established pursuant to the laws of Delaware, with its registered office at 2929 Seventh Street, Suite 100, Berkeley, California 94710, hereinafter referred to as “Buyer,” and Becton, Dickinson and Company, a corporation organized under the laws of New Jersey, with a place of business at 1 Becton Drive, Franklin Lakes, New Jersey 07417-1866 hereinafter referred to as “BD.” Buyer and BD are also referred to collectively herein as the “Parties” and each a “Party.”

This Agreement is dated October 1, 2012 and is made by and between Dynavax Technologies Corp., a corporation of the State of Delaware, with an address at 2929 Seventh Street, Suite 100, Berkeley, CA 94710 (“Customer”) and Nitto Denko Avecia Inc., a corporation of the State of Delaware, with an address at 125 Fortune Boulevard, Milford, Massachusetts 01757 (“Avecia”). Customer and Avecia are sometimes referred to herein individually as a “Party” and collectively as “Parties”.
