The Change of Control Severance Agreement (the “Agreement”) is made and entered into effective as of June 5, 2015 (the “Effective Date”), by and between Nipun Davar (the “Employee”) and Threshold Pharmaceuticals, Inc., a Delaware corporation (the “Company”).
