Popular, Inc., a Puerto Rico corporation (the “Selling Stockholder”), proposes to sell to the several Underwriters listed in Schedule 1 hereto (the “Underwriters”), for whom you are acting as representative (the “Representative”), an aggregate of 6,262,293 shares (the “Shares”) of common stock, par value $0.01 per share (the “Common Stock”), of EVERTEC, Inc., a Puerto Rico corporation (the “Company”). The shares of Common Stock of the Company to be outstanding after giving effect to the sale of the Shares are referred to herein as the “Stock”. If there are no Underwriters other than the Representative, the term shall be regarded as singular. THIS STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of August 8, 2022, is entered into between EVERTEC, Inc., a Puerto Rico corporation (the “Company”), and Popular, Inc., a Puerto Rico corporation (the “Seller”).
