THIS COLLABORATION AGREEMENT (this “Agreement”) is made and entered into as of February 28, 2022 (the “Effective Date”), by and between Sanofi US Services, Inc., a Delaware corporation, with a place of business located at Head Office 55 Corporate Drive, Bridgewater, NJ 08807, United States (“Sanofi”) and Dario Health Corp., a Delaware corporation with a place of business located at 18 West 18th Street, New York 10011, United States (“Dario”). Sanofi and Dario are each referred to individually as a “Party” and collectively as the “Parties”.

This Technology Purchase Agreement (this “Agreement”) is entered into as of January 18, 2022 (the “Effective Date”) by and among Physimax Technologies Ltd., located at 17 Ruhama St., Herzliya, Israel (the “Seller”) and any of its subsidiaries (“Subsidiaries”) on one hand, and Labstyle Innovation Ltd., located at HaTokhen Street, Caesarea Industrial Park, Israel (“Buyer”) and Dario Health Corporation, a Delaware corporation (“Parent”), on the other hand. Seller and Buyer are each referred to herein as a “Party,” and together as “Parties.”
