This letter (the “Agreement”) constitutes the agreement between A.G.P./Alliance Global Partners (the “Placement Agent”) and voxeljet AG, a German stock corporation (the “Company”), that the Placement Agent shall serve as the exclusive placement agent for the Company, on a “reasonable best efforts” basis, in connection with the proposed placement (the “Placement”) of the Company’s ordinary shares with no par value (Stückaktien ohne Nennbetrag), each such share with a notional par value in the share capital of the Company of €1.00 (the “Ordinary Shares”), represented by American Depositary Shares (the “ADS” or the “Securities”).
