This THIRD AMENDED AND RESTATED RECEIVABLES SALE AGREEMENT (as may be amended, supplemented, restated or otherwise modified from time to time, this “Agreement”) is made as of March 13, 2013 (the “Effective Date”), by and among OCWEN LOAN SERVICING, LLC (“OLS”), a Delaware limited liability company, as initial receivables seller (prior to the respective MSR Transfer Dates), as servicer (prior to the respective MSR Transfer Dates) and as subservicer with respect to the Homeward Designated Servicing Agreements (defined below), HOMEWARD RESIDENTIAL, INC.
