This Credit Agreement (“Agreement”) dated as of January 23, 2014, among PARNELL PHARMACEUTICALS HOLDINGS PTY LTD, a proprietary company limited by shares incorporated under the laws of Australia (“Australian Borrower”), PARNELL, INC., a corporation incorporated under the laws of the state of Delaware, United States of America (“U.S. Borrower”, and together with Australian Borrower, each individually, a “Borrower”, and collectively, the “Borrowers”), the Guarantors (as defined herein), the financial institutions party hereto from time to time as Lenders (“Lenders”) and SWK Funding LLC (in its individual capacity, “SWK”), as Agent for all Lenders.

This Amended and Restated Limited Partnership Agreement Holmdel Pharmaceuticals, LP (the “Partnership”), dated, made and effective as of December 20, 2012 (the “Effective Date”), is entered into by and among HP General Partner, LLC, a Delaware limited liability company, as general partner of the Partnership (the “General Partner”), Brett Pope, as the withdrawing limited partner (the “Withdrawing Limited Partner”), and the other limited partners listed from time to time on the Partner Schedule, together with any other Persons admitted as limited partners from time to time pursuant to the terms of this Agreement (such Persons together with his, her or its Permitted Transferees are hereinafter individually referred to as a “Limited Partner” and collectively referred to as the “Limited Partners”).

THIS FIRST AMENDMENT TO AMENDED AND RESTATED LIMITED PARTNERSHIP AGREEMENT OF HOLMDEL PHARMACEUTICALS, L.P. (this “Amendment”) is effective as of the 20th day of December 2012 (the “Effective Date”), by and among HP GENERAL PARTNER, LLC, a Delaware limited liability company (the “General Partner”), SWK HP HOLDINGS, LP, a Delaware limited partnership (“SWK”), and HOLMDEL THERAPEUTICS, LLC, a Delaware limited liability company (“HT” and, together with SWK, individually referred to as a “Limited Partner” and collectively referred to as the “Limited Partners”).
