THIS SHARE EXCHANGE AGREEMENT (the “Agreement”) is made this 4th day of April, 2013 by and among Liberto, Inc., a Nevada corporation (“Pubco”) on one hand, and 4Cable TV Inc., a South Carolina corporation (the “Company”) and the shareholders of the Company as set forth on Exhibit A attached hereto (collectively, the “Selling Shareholders”), on the other hand.
