This Fourth Amendment Agreement (this “Amendment”), dated as of July 26, 2023, is made by and among Alto Opportunity Master Fund, SPC – Segregated Master Portfolio B, in its capacity as a holder of Notes and as Collateral Agent (“Holder”), Genius Group Limited, a Singapore public limited company (the “Company”), the guarantors executing this Amendment (the “Guarantors”) and Roger Hamilton (“Hamilton”).
