THIS AGREEMENT AND PLAN OF MERGER AND REORGANIZATION (this “Agreement”) is made and entered into as of August 12, 2020, by and among NTN BUZZTIME, INC., a Delaware corporation (“Parent”), BIT MERGER SUB, INC., a Delaware corporation and wholly-owned subsidiary of Parent (“Merger Sub”), and BROOKLYN IMMUNOTHERAPEUTICS LLC, a Delaware limited liability company (the “Company”).
