This letter (this “Agreement”) constitutes the agreement between Addentax Group Corp., a Nevada corporation (collectively with its subsidiaries and affiliates, including, without limitation, all entities disclosed or described in the Registration Statement (as hereinafter defined) as being subsidiaries or affiliates of the Company, the “Company”) and Network 1 Financial Securities, Inc. (the “Placement Agent”) pursuant to which the Placement Agent shall serve as the Placement Agent (the “Services”) for the Company, on a reasonable “best efforts” basis, in connection with the proposed offer (the “Offering”) by the Company of its Securities (as defined in Section 3 of this Agreement).
