This Subscription Agreement is made by and between Research Frontiers Incorporated, a Delaware corporation (the “Company”), and the undersigned (the “Subscriber”), in connection with the offering (the “Offering”) of certain shares of common stock of the Company, $.0001 par value per share (the “Shares”) and related stock purchase warrants. For every two (2) Shares purchased by the Subscriber, hereunder, the Subscriber shall also receive one (1) warrant expiring on May 31, 2024 (the “Warrant”) to purchase one share of common stock at the exercise price equal to 150% of the Subscription Price (defined below) per warrant under the terms contained in the Warrant Agreement which shall evidence the Warrant being issued to the undersigned. There will be a reduced exercise price equal to 120% of the Subscription Price for warrant exercises occurring from December 1, 2019 (the date that the Warrant first becomes exercisable) through May 31, 2020, and shall be 130% of the Subscription Price for
