Freier Revocable Trust U/A 9/6/06 (the “Holder”) is entitled to subscribe for and purchase from Foothills Exploration, Inc., a Delaware corporation (the “Company”), 375,000 shares of the Company’s Common Stock (as adjusted pursuant to Section 3 hereof) (the “Warrant Shares”) at the purchase price of $0.665 per share (as adjusted pursuant to Section 3 hereof) (the “Exercise Price”), upon the terms and subject to the conditions hereinafter set forth.
