Long Island Iced Tea Corp., a corporation organized and existing under the laws of State of Delaware (the “Company”), hereby confirms its agreement (this “Agreement”) with the Underwriters named in Schedule A hereto (the Representatives and such other underwriters being collectively called the “Underwriters” or, individually, an “Underwriter”) to issue and sell to the Underwriters an aggregate of 406,550 shares of common stock (the “Shares”), par value $0.0001 per share (the “Common Stock”), of the Company (the “Firm Shares”). The Firm Shares are more fully described in the Registration Statement and Prospectus referred to below.
