THIS FIRST AMENDMENT TO CREDIT AGREEMENT (this “Amendment”), dated as of March 13, 2015, is by and among THE FRESH MARKET, INC., a Delaware corporation (the “Borrower”), the Lenders party hereto and BANK OF AMERICA, N.A., as Administrative Agent (in such capacity, the “Administrative Agent”).
