THIS SHARE EXCHANGE AGREEMENT (the “Agreement”) dated as of October 11, 2023, is entered into by and among Evil Empire Designs, Inc., a Nevada corporation (“Evil Empire Designs”), Jade Affiliated Inc., an Arizona corporation (“Jade Affiliated”), and the shareholders of Jade Affiliated listed on Schedule 1 to this Agreement (each, a “Shareholder” and, collectively, the “Shareholders”).
