This Amendment (the “Amendment”) is made and entered into as of the Effective Date (as that term is defined in the Separation Agreement (as that term is defined herein below)) by and between Amit Kapur, an individual (the “Executive” or “Kapur”), and The Healing Company Inc., a Nevada corporation (the “Company”).
