THIS SHARE EXCHANGE AGREEMENT (the “Agreement”) dated as of May 28, 2020 is entered into by and among Agentix Corp., a Nevada corporation (“Agentix”), and GSL Healthcare, Inc., a Nevada corporation (“GSL Healthcare”), and the shareholders of GSL Healthcare listed on Annex A to this Agreement (each, a “Shareholder” and, collectively, the “Shareholders”).
