This Exchange Agreement (the “Agreement”) is entered into as of the 5th day of December, 2019, by and between ShiftPixy, Inc., a Wyoming corporation with offices located at 1 Venture, Suite 150, Irvine CA 92618 (the “Company”) and the investor signatory hereto (the “Holder”), with reference to the following facts:
