REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of September 6, 2017, by and between INNOVATION PHARAMCEUTICALS INC., a Nevada corporation (the “Company”), and ASPIRE CAPITAL FUND, LLC, an Illinois limited liability company (together with its permitted assigns, the “Buyer”).
