This ASSET PURCHASE AGREEMENT is made as of this 25th day of January 2011 (this “Agreement”) by and among DEER BAY RESOURCES., INC., a Nevada corporation (the “Purchaser”), and Kristian Schiørring and Henrik Dahlerup (collectively, the “Seller”). Purchaser and Seller are sometimes referred to herein individually as a “Party” and collectively as the “Parties.”
