THIS SHARE EXCHANGE AGREEMENT (this “Agreement”), dated this 27th day of January, 2012 and effective as of this 1st day of February, 2012 (the "Effective Date"), is entered into by and between Ecoland International Inc., a corporation formed under the laws of the State of Nevada (“ECIT”), D&R Technology, Inc., a corporation formed under the laws of Ontario (“D&R”), and the shareholders of D&R (the “D&R Shareholders”), as listed on Exhibit A attached hereto.

THIS TERMINATION AGREEMENT is entered into as of this 1st day of February, 2012 by and among Ecoland International Inc., a Nevada corporation (the “Company”) and David Wallace, an individual (the “Executive”).
