This AGREEMENT AND PLAN OF MERGER (this “Agreement”), is entered into as of the 27th day of August, 2012, by and between FIRST COMMUNITY FINANCIAL PARTNERS, INC., an Illinois corporation (“First Community”), INTERIM FIRST COMMUNITY BANK OF PLAINFIELD, an interim Illinois state bank to be organized by First Community located at 2801 Black Road, Joliet, Illinois 60435 (“Interim Bank”), and FIRST COMMUNITY BANK OF PLAINFIELD, an Illinois state bank located at 14150 U.S. 30, Plainfield, Illinois 60544 (the “Minority Bank”, and together with the Interim Bank, the “Banks” and individually, a “Bank”). First Community, Interim Bank and Minority Bank are each referred to in this Agreement as a “Party” and collectively in this Agreement as the “Parties.”
