Reference is hereby made to that certain Fee Waiver Agreement between the Trust, on behalf of the Fund, and First Trust Advisors L.P., the investment advisor to the Fund (the "Advisor"), dated as of August 1, 2014 and the Second Fee Waiver Agreement between the Trust, on behalf of the Fund, and the Advisor, dated as of October 29, 2014 (collectively, the "Agreement"). Capitalized terms used herein but not otherwise defined shall have the meanings attributed to them in the Agreement.
