As you know, on October 1, 2012 (the "Closing Date") Cisco Systems, Inc. ("Cisco") acquired vCider, Inc. ("vCider"), (the "Acquisition") pursuant to the Agreement and Plan of Merger by and among Cisco, Vanderpool Acquisition Corp., vCider and the Stockholders' Agent dated as of October 1, 2012 (the "Merger Agreement"). On the Closing Date, you held one or more outstanding restricted stock units related to shares of vCider common stock granted to you under the vCider, Inc. 2012 Equity Incentive Plan (the "Plan"). Pursuant to the Merger Agreement, on the Closing Date, Cisco assumed all obligations of vCider under your outstanding restricted stock unit award(s).
