This Agency Agreement, entered into December 12, 2008, by and between Calvert Shareholder Services, Inc., a Delaware corporation having its principal place of business in Bethesda, Maryland ("CSS"), and Calvert SAGE Fund, a registered investment company sponsored by Calvert Group, Ltd. and its subsidiaries as set forth on Schedule A ("Fund"). The Fund has entered into a transfer agency and service agreement with the State Street Bank and Trust of Boston, Massachusetts ("State Street") ("State Street Agreement").
