This Amended and Restated Agreement and Plan of Merger (this “Agreement”) is entered into as of July 2, 2026 (the “Effective Date”) by and among (i) Azio AI Corporation, a Delaware corporation (the “Company”), (ii) Envirotech Vehicles, Inc., a Delaware corporation (“Parent”), (iii) EV-AZ Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“First Merger Sub”), and (iv) Azio AI, LLC, a Delaware limited liability company and a wholly owned subsidiary of Parent (“Second Merger Sub” and, together with First Merger Sub, the “Merger Subs” and, together with Parent, the “Parent Parties”). Each of Parent, the Company, First Merger Sub and Second Merger Sub are referred to herein as a “Party” and together as the “Parties”.
