This AGREEMENT AND PLAN OF MERGER (“Agreement”) is made and entered into as of October 11, 2023 by and among Kontron America, Incorporated, a Delaware corporation (“Parent”), Kontron Merger Sub., Inc., a Delaware corporation and wholly owned subsidiary of Parent (“Merger Sub”), and Bsquare Corporation, a Washington corporation (the “Company”). Certain capitalized terms used in this Agreement are defined in Exhibit A.

This TENDER AND SUPPORT AGREEMENT (this “Agreement”), dated as of October 11, 2023, is entered into by and among Kontron America, Incorporated, a Delaware corporation (“Parent”), Kontron Merger Sub., Inc., a Delaware corporation and wholly-owned subsidiary of Parent (“Merger Sub”), and the undersigned shareholder (the “Shareholder”). All terms used but not otherwise defined in this Agreement shall have the respective meanings ascribed to such terms in the Merger Agreement (as defined below).
