THIS SALE AND PURCHASE AGREEMENT FOR PREFERRED MEMBERSHIP INTEREST UNITS IN BHCMC L.L.C. (this "Agreement") is made as of September 13, 2021, by and between BHC Investment Company, L.C., a Kansas limited liability company ("BHC INV" or "Seller"), and Butler National Service Corporation, a Kansas corporation ("BNSC" or "Purchaser").
