This Stock Purchase Agreement (this “Agreement”), dated as of September 3, 2014, is entered into by and among Vicis Capital Master Fund, a sub-trust of Vicis Capital Master Series Trust, a unit trust organized and existing under the laws of the Cayman Islands (“Seller”), Deer Valley Corporation (the “Company”), a Florida corporation, and Peerless Systems Corporation, a Delaware corporation (“Buyer”).
