This First Amendment to the Technology License & Distribution Agreement (hereinafter referred to as the "TLDA") from Windaus Energy, Inc. This Plan of Merger and Merger Agreement (the “Merger Agreement”) is entered into on this 19th day of October 2009 by and between Flight Management International, Inc., a Delaware corporation ("FMGM"), with a principal place of business at 16 Muncy Drive, West Long Branch New Jersey 07764, and Native American Energy Group, Inc. (“NAEG”), a Nevada corporation, with a principal place of business at 108-18 Queens Blvd, Suite 901, Forest Hills, NY 11375. This Agreement shall become effective immediately.

This confirms Shell Trading (US) Company’s (“STUSCO”) agreement to Native American Energy Group’s (“Seller”) agreement to sell and deliver crude oil production from the lease(s) described in the enclosed Attachment(s) to carriers designated by STUSCO. Provisions relating to crude type(s), decimal interest(s) for purchases from each lease, price, payment for crude oil and payment of taxes are stated in Attachment(s).
