THIS SECOND AMENDMENT to the Employment Agreement, dated as of January 1, 2000, as amended by the First Amendment to Employment Agreement, dated as of December 22, 2008, (the “Agreement”) is made as of this 17th day of March, 2010 by and between UNIGENE LABORATORIES, INC. (the “Company” or “Unigene”) and Ronald Levy (the “Executive”).

This instrument and the rights, remedies and obligations evidenced hereby are subordinate in the manner and to the extent set forth in that certain Affiliate Subordination Agreement dated as of September 30, 2008, by and among Jean Levy, Jaynjean Levy Family Limited Partnership, Unigene Laboratories, Inc. and Victory Park Management, LLC (as amended, restated, modified or supplemented from time to time, and as reaffirmed by that certain Reaffirmation of Affiliate Subordination Agreement dated as of March 17, 2010, by and among the same parties thereto, together, the “Subordination Agreement”), to the Senior Debt (as defined in the Subordination Agreement); and each holder of this instrument, by her acceptance hereof, irrevocably agrees to be bound by the provisions of the Subordination Agreement.

This Amended and Restated Change in Control Agreement (“Agreement”) is being entered into on the last date listed on the signature page hereof by and between Dr. James P. Gilligan (“Vice President”) and Unigene Laboratories, Inc. (“Company”). As used herein, “Parties” refers to Vice President and Company.
