AGREEMENT made as of the 2nd day of January, 2014, by and between Absolute Investment Advisers LLC, a Massachusetts limited liability company with its principal office and place of business at 18 Shipyard Drive, Suite 3C, Hingham, MA 02043 (the "Adviser") and LakeWater Capital LLC, a Delaware limited liability company with its principal office and place of business at 100 Limestone Plaza, Suite 200, Fayetteville, NY 13066 (the "Subadviser").
