AGREEMENT made as of April 5, 2012, by and between Forum Funds, a Delaware statutory trust, with its principal office and place of business at Three Canal Plaza, Suite 600, Portland, Maine 04101 (the "Trust"), and Auxier Asset Management, LLC an Oregon limited liability company, with its principal office and place of business at 5825 Meadows Road, Suite 333, Lake Oswego, Oregon 97035 (the "Adviser").
RE: Expense Limitation AgreementForum Funds • April 6th, 2012
This agreement can only be terminated or amended upon the approval of the Trust's Board of Trustees and is automatically terminated if the Adviser is no longer a service provider to the Fund. Unless otherwise amended or terminated, this agreement will renew automatically for one-year terms unless the Adviser provides written notice of its termination at least 90 days prior to the end of the then current term.
