AGREEMENT made as of December 27, 2011, by and between Forum Funds, a Delaware statutory trust, with its principal office and place of business at Three Canal Plaza, Suite 600, Portland, Maine 04101 (the "Trust"), and Carne Capital, LLC a Pennsylvania limited liability company, with its principal office and place of business at Radnor Court, Suite 210, 259 Radnor Chester Road, Radnor, Pennsylvania 19087 (the "Adviser").

This agreement can only be terminated or amended upon the approval of the Trust's Board of Trustees and is automatically terminated if the Adviser is no longer a service provider to the Fund. Unless otherwise amended or terminated, this agreement will terminate on March 1, 2013.
