AMENDED AND RESTATED EXPENSE LIMITATION AGREEMENT, effective as of January 27, 2023, by and between Mesirow Financial Investment Management, Inc. (the “Adviser”) and The Advisors’ Inner Circle Fund III (the “Trust”) (the “Agreement”), on behalf of the series of the Trust set forth in Schedule A attached hereto (each, a “Fund” and together, the “Funds”).

This ADVISOR COMPLEX SCHEDULE (this “Schedule”) to the Agreement (as amended, the “Agreement”) originally made as of the 12th day of March, 2014, by and between THE ADVISORS’ INNER CIRCLE FUND III, a business trust existing under the laws of the State of Delaware, having its principal place of business at One Freedom Valley Road, Oaks, Pennsylvania 19456 (the "Trust”) and DST SYSTEMS, INC., a corporation existing under the laws of the State of Delaware, having its principal place of business at 333 West 11th Street, 5th Floor, Kansas City, Missouri 64105 ("DST") is entered into by and between DST and the Trust as of the 11th day of April 2022.

The Adviser shall pay to the Sub-Adviser as compensation for the Sub-Adviser’s services rendered, a fee, computed daily at an annual rate based on the average daily net assets of the respective Fund as may be allocated by the Adviser to the Sub-Adviser from time to time in accordance with the following fee schedule:
