THIS AGREEMENT is effective as of April 25, 2016, by and between Sims Total Return Fund, Inc., a Wisconsin corporation (the “Fund”) and Quasar Distributors, LLC, a Delaware limited liability company (the “Distributor”). Sims Capital Management, LLC, the investment advisor to the Fund (the “Advisor”), is a party hereto with respect to Sections 3 F. and 6 only.

(the “Fund”), and Sims Capital Management LLC, a Wisconsin limited liability company (the “Advisor”).
