THIS ASSET PURCHASE AGREEMENT (“Agreement”) is entered into as of June 1, 2005, by and between G.K. Gymnastics, Inc. a Colorado corporation (“Seller”), and U.S.A. Connection, Inc., a Colorado Corporation (“Buyer”).
