This Support Agreement (this “Agreement”) is entered into as of July 10, 2017 and effective as of June 22, 2017, by and between Tryperion Partners, LLC., a California limited liability company (“Tryperion”) and SW Manager, LLC, a Delaware limited liability company (the “Manager”). Capitalized terms used herein but not otherwise defined shall have the meanings ascribed to them in that certain Management Agreement by and among 1st stREIT Office Inc. (the “Company”), 1st stREIT Office Operating Partnership LP (the “Operating Partnership”) and the Manager dated as of the date hereof (as the same may be amended from time to time, the “Management Agreement”).

THIS MANAGEMENT AGREEMENT (this “Agreement”), dated as of the 10th day of July, 2017, and effective as of the 22nd day of June, 2017 (the “Effective Date”), is entered into by and among 1st stREIT Office Inc., a Maryland corporation (the “Company”), 1st stREIT Office Operating Partnership LP, a Delaware limited partnership (the “Operating Partnership” and together with the Company, collectively or individually as the context requires, the “”stREIT Entities”), and SW Manager, LLC, a Delaware limited liability company (the “Manager”). Capitalized terms used herein shall have the meanings ascribed to them in Section 1 below.
