THIS SHAREHOLDERS’ AGREEMENT (the “Agreement”) is made as of March 30, 2011, by and among Arch Hill Capital, NV (“Arch Hill”), Stichting Gemeenschappe­lijk Bezit LTC (“Stichting”) (together with Arch Hill, the “Arch Hill Parties”) and Cicco Holding AG (the “Buyer”). The Arch Hill Parties and the Buyer are collectively referred to as the “Par­ties.”
