This Loan Agreement (the "Agreement"), effective as of April 18, 2012 (the "Effective Date"), is entered into by and among Technest Holdings, Inc., a Nevada corporation (the "Company"); and Timothy King (collectively, the "Lenders" and individually, a "Lender").
